Shyro Health - Terms of Service

This Platform (as defined below) is owned and operated by Shyro Health. These terms of service ("Terms") govern your (i) use of the Platform and (ii) access to the Services (as defined below). By ticking the check-box, you shall be deemed to have read, understood, and provided your Consent (as defined below) to these Terms. If you do not agree to these Terms, do not use the Platform or our Services. As these Terms are a legal contract between you and Shyro Health, it is important that you review the Terms carefully before accessing or using the Platform or the Services. These Terms are not intended to alter in any way or limit the terms or conditions of any other policy or terms and conditions that you may have with Shyro Health, including without limitation the privacy policy ("Privacy Policy").

For the purpose of these Terms, wherever the context so requires "you", "your" or "User(s)" shall mean any natural person who uses the Platform for availing the Services. The term "we", "us", "our", shall mean Shyro Health, its employees, and authorised agents that perform any services on Shyro Health's behalf.

We reserve the right to make changes to these Terms at any time. Any such modifications will become effective immediately upon posting to the Platform and your continued use of the Platform, and/or the Services constitutes your agreement to such modifications. You agree to periodically review the current version of these Terms as posted on the Platform.

The Platform facilitates Users to connect with the Therapist (as defined below) who will provide the Services.

1. Definitions

  • "Client" shall mean and include all forms of businesses, organizations, institutions, corporates, banks, hospitals, trusts, defence services, etc., that partner with Shyro Health to provide the Services to their employees (Users herein).
  • "Comments" shall have the meaning ascribed to the term in clause 5.3.
  • "Consent" shall have the meaning ascribed to the term in the Privacy Policy.
  • "Content" shall have the meaning ascribed to the term in clause 5.1.
  • "Discussion Period" shall have the meaning ascribed to the term in clause 14.2(b).
  • "Dispute" shall have the meaning ascribed to the term in clause 14.2(a).
  • "Linked Sites" shall have the meaning ascribed to the term in clause 3.3(a).
  • "Platform" shall mean the Shyro Health digital ecosystem, including but not limited to:
    1. the Shyro Health website;
    2. the Shyro Health mobile application(s);
    3. any technology-driven tools, AI-assisted features, and software integrations used to facilitate the Services; and
    4. communication systems (e.g., chat, email, video consultations) are used for interactions between Users and Therapists.
  • "Privacy Policy" shall have the meaning ascribed to the term above.
  • "Services" shall have the meaning ascribed to the term in clause 3.1(b).
  • "Shyro Health Content" shall have the meaning ascribed to the term in clause 5.7(a).
  • "Terms" shall have the meaning ascribed to the term above.
  • "Therapist" shall mean a mental health professional who provides Services to Users through the Platform.

2. Applicability

The general terms and conditions in these Terms are applicable to all present and future contracts established between the User or Therapist and Shyro Health. This agreement applies to all Users and Therapists, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of any content. By availing any of our Services, the Users and/or the Therapists irrevocably accept all the obligations stipulated in the Terms, Privacy Policy, other policies referenced herein; and agrees to abide by them. These Terms supersede any previous oral or written terms and conditions that may have been communicated by Shyro Health.

3. Services

3.1 Scope

3.1.1 Agreement for B2B Services

If you are a Client seeking to avail Services for your employees, members, students, or other registered individuals, you must enter into a separate agreement or memorandum of understanding with Shyro Health before accessing the Services. Each such User using the Services under such an agreement will be bound by these Terms and the Privacy Policy.

In the event that an employee, member, student, or any other registered individual affiliated with the Client is no longer associated with it, or if the Client elects to revoke their access, the Client must provide written notice to Shyro Health.

Upon receipt of such notification, such individual's access to the Platform will be revoked and their account will be permanently deactivated.

3.1.2 Scope of Services

Shyro Health provides mental health and wellness services which includes but is not limited to ("Services"):

  1. online and face-to-face consultations with Therapists;
  2. self-assessments and psychological tests to evaluate mental wellness;
  3. workshops, training sessions and webinars conducted by Therapists;
  4. self-help tools, educational content and guided wellness programs delivered through multiple channels, including websites, mobile applications and emails;
  5. secure communication tools, including encrypted private messaging between Users and Therapists;
  6. access to user forums, blogs, discussion topics and interactive feedback channels.

All Services comply with Shyro Health's confidentiality and anonymity policies as outlined in the Privacy Policy.

3.2 Modifications

Shyro Health reserves the right to:

  1. add, modify or remove products and Services from its offerings without prior notice;
  2. make updates or changes to these Terms at any time;
  3. suspend or discontinue any part of the Platform or Services or any specific feature at any time without prior notice;
  4. restrict certain Users from availing the Services or impose usage limits on them, at our sole discretion; and
  5. remove Content or terminate User/Therapists' access if they violates the Terms or for any other reason at Shyro Health's sole discretion.

3.3 Third party services

  1. The Platform may contain links to third-party websites, services or resources ("Linked Sites"). These Linked Sites are not under our control and we are not responsible for their content, policies or practices.
  2. The inclusion of any Linked Site does not imply our endorsement, recommendation or affiliation with its operators, owners or content providers.
  3. We do not assume responsibility for any form of transmission, data or content you may receive from Linked Sites.
  4. You acknowledge that upon accessing Linked Sites, you will be governed by their respective terms of use and privacy policies. Any interaction, transaction or engagement with third-party websites, products, or services is solely at your own risk and Shyro Health will not be liable for any damage, loss or claims arising from such interactions.
  5. Shyro Health may also incorporate third-party products, tools or services on the platform. By using such services, you acknowledge and agree to the respective third-party provider's terms and conditions. We do not warrant or guarantee the quality, accuracy, legality or availability of third-party content, services or products made accessible through our Platform. Any issues, concerns or disputes regarding third-party services should be directed to the respective third-party provider.
  6. Shyro Health does not assume liability for any third-party services, links (including Linked Sites) or content accessed through the Platform. We are not responsible for any errors, omissions, misleading content or damages resulting from third-party platforms. Any reliance on third-party services is at your own risk and Shyro Health shall not be held liable for any associated damages or losses.

4. Terms of Usage

4.1 Access to Platform

4.1.1 Account Registration & Personal Information:

To access the Platform and Services, you must create an account and provide accurate, complete, and up-to-date information, including but not limited to:

  1. name;
  2. email address;
  3. contact number;
  4. emergency contact number and details;
  5. date of birth;
  6. gender;
  7. location;
  8. profile photographs;
  9. credentials;
  10. professional qualifications; and
  11. other necessary personal details.
  1. You agree that all information provided by you will be accurate, correct and updated as necessary. You must not impersonate another person or provide false details, including using an email address or personal information that does not belong to you.
  2. Users are expected to provide accurate contact details of emergency contacts.
  3. Your user account shall be used only by you and shall not be shared with any other person. Any breach of this section would be considered a serious breach of the Terms and may lead inter alia to immediate termination of your account.
  4. We will send you information relating to your account (e.g., changes in password, confirmation messages, notifications) in electronic form only, for example, via emails to your email address registered with us.
  5. The collection and use of your personal information will be in accordance with Shyro Health's Privacy Policy.

4.1.2 Age restriction

  1. Use of the Platform and Services is strictly available only to individuals aged 18 (eighteen) years and above. By accessing or using the Platform or Services, you confirm that you are at least 18 (eighteen) years of age and legally competent to enter into this agreement in accordance with Indian Contract Act, 1872 and using the Services in violation of this section is considered a material violation of the Terms.
  2. Minor access with parental/guardian Consent:
    1. In the event the User is a minor, access to and use of the Platform and Services shall be permitted only upon receipt of verifiable Consent from the User's parent or guardian. The Consent shall be validated via the One Time Password (OTP) authentication process as enabled on the Platform. The OTP will be sent to the registered email ID of the parent or guardian and access for the minor User shall be granted only upon successful verification of the OTP on the Platform.
    2. Where the Client is an educational institution partnering with Shyro Health to deliver the Services to its students, who are minors, the Consent shall be obtained from the institution/Client under the agreement or memorandum of understanding entered into between the Client and Shyro Health in accordance with Clause 3.1(a).
    3. The parent, guardian or institution (as applicable) hereby acknowledge and agree to these Terms, along with any additional terms, conditions, and policies referenced herein or accessible via hyperlinks. It is advised that all such Terms, conditions, and policies be read carefully. These Terms (including all referenced additional terms, conditions, and policies) shall become effective upon the use or availing of any Services, resources, or products provided through the Platform.
    4. Accessing the Service/Platform on any medium, including but not limited to mobile phones, smartphones and tablets, is also subject to the provisions of the Terms. Continuing to use the Platform, purchase of any Services, resource or product, forms an obligatory legal agreement between the User and Shyro Health.
    5. Shyro Health is not liable for any harm, damage or consequences resulting from unauthorized usage of the Platform by minors without the required parental, guardian or institutional Consent (as applicable). The responsibility lies with the parent, guardian or institution to monitor and supervise a minor's use of the Platform.
    6. Shyro Health reserves the right to update, modify, or remove sections related to minor access under these Terms at any time. It is the responsibility of Users and parents, guardians or institution (as applicable) to periodically review the latest version of these Terms. Continued use of the Platform after modifications will be considered acceptance of the revised terms.

4.1.3 Security & confidentiality

You are solely responsible for maintaining the confidentiality of your login credentials, passwords, and account details. You are responsible for all activities that occur under your account, whether authorized by you or not. If you suspect unauthorized access or a security breach, you must immediately notify Shyro Health on support@shyrohealth.com.

4.2 Acceptable Use of the Platform

  1. You may use the Shyro Health Platform solely for lawful purposes. The Platform and/or Services shall not be used for any illegal, unauthorized purposes or for any other purpose which is against good morals.
  2. By accessing or using the Platform, you and/or the Therapist agree not to engage in any of the following activities:
    1. copying, distributing or disclosing any part of the Platform or Services or Shyro Health Content in any medium without prior authorization;
    2. using the Platform to transmit spam, chain letters or other unsolicited emails, messages and links;
    3. attempting to interfere with or compromise the system integrity or security, deciphering transmissions to or from the servers or violating security measures;
    4. taking actions that impose an unreasonable or disproportionately large load on our infrastructure;
    5. uploading invalid data, viruses, worms or other software agents through the Platform;
    6. collecting or harvesting personal information, including account names, from the Platform without consent;
    7. using the Platform for any commercial purposes without obtaining necessary consent from Shyro Health;
    8. impersonating another person or misrepresenting your affiliation with a person or entity;
    9. interfering with the proper working of the Platform;
    10. accessing the Platform, Services or Shyro Health Content through unauthorized means;
    11. attempting to bypass security measures used to prevent or restrict access to the Platform;
    12. decomposing, decompiling, reverse engineering, disassembling or otherwise deconstructing any portion of the Platform;
    13. using data mining, web crawlers, robots or similar data gathering and extraction tools in relation to the Platform;
    14. making any backup or archival copies of the Platform or any portion of it without authorization;
    15. 'mirroring', 'framing', or using other methods to incorporate any portion of our Platform or its features into any other website/application without prior written authorization;
    16. deep-linking to any portion of the Platform for any purpose without express written permission;
    17. hindering others' usage of the Platform or interfering with its functioning, including infringing on the intellectual property rights of another party; or
    18. selling the Services to a third party without our explicit consent.
  3. If you wish to permanently delete your account, please contact us at support@shyrohealth.com. You can learn more about what information is deleted and what we continue to store after the account is deleted in our Privacy Policy. We can terminate or suspend your account at any time at our discretion. We can also remove any descriptions, posts or features at our discretion. These Terms remain in effect even if you no longer have an account.

5. Content submission and ownership

  1. By submitting any text, images, links, sound recordings, videos, graphics, trademarks, session notes or any other content ("Content") on the Platform (including user forums, discussions, comments and feedback), you agree that:
    1. you own the rights to the Content or have legal authorization to use and share it;
    2. your Content does not infringe on the copyright, trademarks, privacy or intellectual property rights of any third party;
    3. your Content does not promote or involve violence, tobacco, alcohol, adult content or any illegal, abusive, harassing, defamatory, obscene, racially or ethnically offensive or hateful, harmful to children, threatening, disparaging, libelous, invasive of another's privacy or misleading material;
    4. your Content complies with all applicable laws and regulations and does not threaten the unity, integrity, defense, security, or sovereignty of any nation or public order;
    5. your Content is not false, inaccurate or misleading in any way; and
    6. your Content shall not create a risk of harm, loss, physical or mental injury, emotional distress, death, disability, disfigurement or physical or mental illness to you or any other person.
  2. Upon submission of Content, you expressly grant Shyro Health a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, copy, store, archive, reproduce, modify, process, distribute, publish, edit, translate, syndicate and display the Content, create derivative works of all such Content and your name voice and/or likeness as contained in the Content, in whole or in part and in any form, media or technology, whether now known or hereafter developed for use in connection with the Platform and Shyro Health's business (and its successors and affiliates), including without limitation for promoting and redistributing all or part of our Platform or Services (and derivative works thereof), in any media formats and through any media channels, or incorporate the content into materials for Service related purposes.
  3. If, at our request, you and/or Therapist send certain specific submissions (such as contest entries, etc.) or without a request from us, you and/or Therapist send or submit forum topics, replies, comments, creative ideas, suggestions, proposals, plans or other materials, whether online, by email, by postal mail, on our social media channels or otherwise (collectively, "Comments"), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium the Comments. We are and shall be under no obligation to:
    1. maintain any Comments in confidence;
    2. pay compensation for any Comments; or
    3. respond to any comments.
    Shyro Health however guarantees that all communication between the User and Shyro Health and / or the Therapist within the ambit of therapy shall be kept confidential, subject to compliance with applicable laws.
  4. You agree that your Comments will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your Comments will not contain libelous or otherwise unlawful, abusive or obscene material or contain any computer virus or other malware that could in any way affect the operation of the Platform, Services or any related website (including Linked Sites) or application. You may not use a false e-mail address, pretend to be someone other than yourself or otherwise mislead us or third-parties as to the origin of any Comments. You are solely responsible for any Comments you make and their accuracy. We take no responsibility and assume no liability for any Comments posted by you or any third-party.
  5. We may, but have no obligation to:
    1. monitor, edit or remove Content and/or Comment that we determine in our sole discretion as unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or in violation of any party's intellectual property or these Terms;
    2. investigate an allegation that a communication (including Comments) does not conform to these Terms and determine in our sole discretion to remove or request the removal of the communication;
    3. terminate a User's access to any or all parts of the Platform or Services upon any breach or anticipated breach of these Terms;
    4. edit or delete any communication(s) (including Comments) posted on the Platform, regardless of whether such communication(s) violate these standards.
  6. We have no liability or responsibility to Users or any other person or entity for performance or non-performance of the aforementioned activities.

5.7 Proprietary Rights

  1. The Platform contains content that is either owned by or licensed to Shyro Health which includes, but is not limited to, text, graphics, logos, images, software, source code and any other materials ("Shyro Health Content"). Shyro Health retains all right, title, and interest in and to the Shyro Health Content, including all associated intellectual property rights.
  2. You are prohibited from removing, altering or concealing any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Shyro Health Content. Additionally, you agree not to copy, reproduce, modify, adapt, translate and create derivative works based on Shyro Health Content or publish, distribute, transmit, broadcast, sell or license any Shyro Health Content without prior written consent from Shyro Health.
  3. The name 'Shyro Health' and the Shyro Health logo are trademarks of Shyro Health. These trademarks, along with all custom graphics, button icons, and scripts, represent the service marks, trademarks, and trade dress of Shyro Health. They may not be copied, imitated or used, in whole or in part, without prior written permission from Shyro Health.
  4. We grant you a limited right to access and use the Platform, Services and Shyro Health Content solely in connection with the Services and in accordance with these Terms. Such access and usage shall not grant you any ownership right or license to the Platform, Services and/or Shyro Health Content.

6. Disclaimer & Limitation of Liability

6.1 Service availability and risks

You acknowledge that:

  1. the Platform may experience occasional interruptions due to maintenance, security updates or factors beyond our control, including network or equipment failures. While we strive to restore the Services promptly, Shyro Health is not liable for any losses, damages or inconveniences caused by Service downtimes or disruptions;
  2. we do not guarantee that access to the Platform will be uninterrupted, timely, secure or error-free;
  3. we are not responsible for any damage to your device or data loss resulting from the use of the Platform;
  4. you are solely responsible for any actions, liabilities, consequences, decisions or behaviors in connection with your use of the Platform and/or Services;
  5. Shyro Health acts solely as a technology provider enabling Users to connect with Therapists and we do not:
    1. guarantee specific results or outcomes from therapy sessions;
    2. ensure continuous availability of a specific Therapist or Service; or
    3. endorse or influence any particular therapy approach, diagnosis, or treatment.
    The effectiveness of therapy depends on multiple factors, including user participation, therapist expertise and personal circumstances. Shyro Health shall not be held liable for any dissatisfaction, mental health outcomes or adverse effects resulting from therapy.

6.2 Informational Purposes Only

  1. The advice or information provided by Therapists via the Platform is intended solely for informational purposes and should not be considered a substitute for examination by a doctor or other licensed mental health or medical professional. Users are strongly advised against relying solely on, or making decisions based solely on, advice provided by any Therapist.
  2. Use of the Services is not intended for emergencies. If you believe you have a medical or mental health emergency, or if at any time you are concerned about your care or treatment, please go to the nearest hospital or healthcare provider.
  3. The Platform is not a suicide helpline. If you feel that you are a danger to yourself or others, or you are contemplating or considering committing suicide, you should immediately seek examination by a doctor or other licensed mental health or medical professional and notify appropriate authority or emergency medical personnel. If you are thinking about suicide, immediately call a suicide prevention helpline such as: (i) Tele Manas -- 14416 (24/7 helpline); (ii) Aasra - 022-275466691 (24/7 helpline); or (iii) Life Suicide Prevention and Crisis Support -- +91-7893078930 (5 AM to 12 AM)/7 days a week).
  4. The Platform is not a medical service and does not provide medical care. Your use of information (including Shyro Health Content or any Content) provided on the Platform and availing of Services on the Platform is solely at your own risk. Shyro Health is not, and will not in any manner be, involved in the practice of medicine or the provision of medical care, nor does the provision of any such information on the Platform create a licensed medical professional/patient relationship between Shyro Health and you. Such information is provided for informational purposes only and does not constitute an opinion, medical advice, diagnosis and prognosis, or treatment, of any particular condition.
  1. You acknowledge and agree that you take full responsibility for the decision to access a Therapist through the Platform and to continue to interact with such individual(s). The role of Shyro Health is strictly limited to providing access to such Therapists to you. Shyro Health is not responsible for the quality, outcome, or choice of treatment offered by such Therapists.
  2. It is the sole responsibility of the Therapist to ensure that all Services provided by them are in accordance with applicable law and that all necessary licenses, permissions and authorizations are maintained throughout the provision of such Services. Therapists are also solely responsible for ensuring that all Services are provided only to persons eligible to receive such Services in accordance with applicable law and these Terms.
  3. While Shyro Health conducts background checks and verifications on all Therapists, you acknowledge and agree that:
    1. Shyro Health does not endorse, recommend, warrant or guarantee the qualifications, expertise, claims or background of any Therapist;
    2. the opinions, advice, services or recommendations provided by Therapists are their independent views and do not reflect Shyro Health's stance; and/or
    3. Shyro Health makes no representation regarding the validity, accuracy, completeness, legality or applicability of any advice or information provided on the Platform.
  4. Except as otherwise provided under applicable laws, Shyro Health disclaims any and all liability for any Services, including consultation and therapy Services rendered by a Therapist to you through the Platform. Shyro Health does not guarantee the quality or efficacy of Services provided by Therapists, who are solely responsible for the Services they offer. If the Services availed from such Therapists are deficient, not received within the specified duration, not in accordance with the specifications indicated or if the Therapists were negligent during the provision of such Services, you must raise such concerns with the relevant Therapist.
  5. We back up all the data created on the Platform on a regular basis. However, you acknowledge and agree to the fullest extent permissible by applicable law that we shall not be responsible for any loss of data uploaded on or collected via the Platform. We accept no liability for any disruption or non-availability of the Services. The disclaimers of warranty under this clause also apply to our subsidiaries, affiliates and third-party service providers. Shyro Health shall not be responsible for keeping any data or information accessible at all times to the Users and the time period for which specific data or information is accessible is limited.
  6. In no case shall Shyro Health, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers or Therapists, be liable for any injury, loss, claim or any direct, indirect, incidental, punitive, special or consequential damages of any kind, including without limitation, lost profits, lost revenue, lost savings, loss of data, loss of goodwill, work stoppage, computer failure or malfunction, replacement costs, or any similar damages, whether based in contract, tort, strict liability or otherwise, arising from your use of any of the Services or Platform or any products procured using the Services or Platform, or for any other claim related in any way to your use of the Services or Platform or any product, including, but not limited to, any errors or omissions in any content or any loss or damage of any kind incurred as a result of the use of the Services or Product or any Shyro Health Content (or product) posted, transmitted or otherwise made available via the Services or Platform, even if advised of their possibility. Further, Shyro Health shall not be responsible for any errors, omissions or inaccuracies relating to product/Service descriptions, pricing, promotions, offers etc., displayed on the Platform.
  7. In all cases, Shyro Health's total liability for any claims, damages or losses shall not exceed the amount paid by you (if any) for the specific service in dispute.

7. Warranty

  1. Shyro Health offers the Platform and Services on an "as is" and "as available" basis. Users/Therapists access and utilize the Platform at their own risk. To the fullest extent permitted by applicable law, Shyro Health disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose and non-infringement.
  2. Shyro Health, along with its subsidiaries, affiliates, and licensors, does not warrant that:
    1. the content available on the Platform will always be fully accurate, complete or without any error;
    2. the Platform and/or the Services will meet Users'/Therapist's specific requirements;
    3. the Platform and/or the Services will be available at any particular time or location, uninterrupted or secure; or
    4. the Platform is free of viruses or other harmful components, unless such infiltration occurs for reasons attributable to Shyro Health.
  3. Any content downloaded or otherwise obtained through the use of the Platform is accessed at the User's/Therapist's own risk. Users/Therapists are solely responsible for any damage to their computer systems or mobile devices or loss of data that results from such downloads or use of the Platform.
  4. Shyro Health does not warrant, endorse, guarantee or assume responsibility for any product or service advertised or offered by a third party through the Platform or any Linked Site or service. Shyro Health will not be a party to or monitor any transaction between Users and third-party providers of products or any services.
  5. Shyro Health makes no representations or warranties of any kind, express or implied, regarding the operation of its Platform or the information, content, materials, programs, Services or products included on the Platform

8. Indemnity

  1. The User and the Therapist shall indemnify, defend and hold us, our affiliates, officers, directors, shareholders, employees, sub-contractors and agents harmless from and against any and all losses, damages, settlements, liabilities, costs, charges, assessments and expenses, as well as third party claims and causes of action, including, without limitation, attorneys’ fees, arising out of: (a) their breach of these Terms; and/or (b) their use of the Platform or Services; and/or (c) violation of applicable law; and/or (d) unauthorized access to or misuse of any confidential information/data. In relation to any third-party claims against us on account of their actions in relation to the access to the Platform and Services, the User and/or Therapist, as the case may be, shall take control of the defence of the proceedings, without any charge to us, as may be required including without limitation, providing us with such information, documents, records as we may deem necessary. The User and/or the Therapist, as the case may be, shall not settle any third-party claim or waive any defence without our prior written consent.
  2. In the event of a dispute regarding any transaction conducted via the Platform or as part of the Services, the User and/or the Therapist, as the case may be, hereby relieves Shyro Health, its affiliates, officers, directors, shareholders, employees, sub-contractors and agents from all manner of actions, claims or demands and from any and all losses (direct, indirect, incidental or consequential), damages, costs or expenses, including, without limitation, court costs and attorneys’ fees, which the User and/or the Therapist, as the case may be, may have against one or more of the above, except as otherwise expressly provided under applicable laws.

9. Termination

  1. Termination by Shyro Health
    1. Shyro Health may terminate these Terms at any time, for any reason, at its sole discretion. In accordance with the provisions of these Terms, we reserve the right to suspend, restrict, or terminate any User’s or Therapist’s access to the Platform and/or Services, with or without prior notice.
    2. We reserve the right to discontinue or suspend the Platform and/or Services if required by applicable law, by any law enforcement or regulatory authority or in accordance with the provisions of these Terms.
  2. Termination by User
    1. You may terminate these Terms at any time by deleting your user account.
    2. If you accessed Shyro Health through a third-party platform, you may need to follow that platform’s termination process.
  3. Consequences of Termination
    1. Upon termination, your right to access and use the Platform will cease immediately. Any obligations, liabilities or rights accrued prior to termination shall survive. Shyro Health reserves the right to enforce and prosecute any violations of these terms. These Terms remain in effect even if you no longer have an account.

10.Survival

In the event of termination or expiration of these Terms for any reason, any provisions of these Terms that by their nature should survive termination of these Terms, will survive.

11. Severability

In the event that any provision of these Terms is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law and the unenforceable portion shall be deemed to be severed from these Terms. Such determination shall not affect the validity and enforceability of any other remaining provisions.

12. Assignment

We may at any time assign the Terms to a third Party, in which case such assignment will not result in deterioration of any rights conferred hereunder. We shall provide a notification about such assignment and the assignment will be effective as of the date/day of issuance of our notice.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Subject to Clause 14 (Grievance Redressal & Dispute Resolution), the courts in Mumbai, India, shall have exclusive jurisdiction over any Disputes (as defined below) arising out of or related to these Terms, Privacy Policy or any other policies of Shyro Health.

    3. We strive to address all grievances within 30 (thirty) days from the date of receipt of such grievances.
  2. Amicable Resolution
    1. In the event of any unresolved grievance, dispute, controversy, or claim arising out of or relating to these Terms, Privacy Policy or any other policies of Shyro Health, including but not limited to their breach, termination, validity, or any non-contractual matters (each, a “Dispute”), the User/Therapists (as the case may be) and Shyro Health shall first attempt to resolve the dispute amicably through good-faith discussions.
    2. The aggrieved party must provide written notice of the dispute to the other party and both parties shall make reasonable efforts to resolve the matter within 30 (thirty) days from the date of such notice (“Discussion Period”).
  3. Arbitration
    1. (a) If the Dispute is not resolved amicably within the Discussion Period, it shall be referred to and finally settled by arbitration.
    2. (b) The arbitration shall be conducted by a sole arbitrator mutually appointed by both parties, in accordance with the Indian Arbitration and Conciliation Act, 1996, as amended from time to time. The seat and venue of arbitration shall be Mumbai, India.
    3. (c) The arbitration proceedings shall be conducted in English, and the arbitral award shall be final and binding on both parties.
    4. (d) The costs of arbitration shall be borne equally by both parties unless otherwise determined in the award.
